Terms and Conditions

General

1. Agreement:

   • The Shed Creative, LLC (hereafter "The Shed") will only commence work once an order has been placed by phone, email, or in writing. An "order" is deemed to be a verbal or written contract between The Shed and the Client, including telephone and email agreements.

2. Invoices and Payment:

   • Invoices will be generated and issued electronically and sent by email to the Client.

   • The preferred method of payment is Bank Transfer. Account details will be included on all invoices.

3. Liability:

   • The Shed accepts no legal liability for loss or damage caused by any work carried out by The Shed.

4. Quotations:

   • All quotations are valid for a period of 30 days only.

5. Acceptance:

   • Acceptance and/or payment of a quotation, estimate, or invoice constitutes agreement and full acceptance of these Terms and Conditions.

   • The most up-to-date version of these Terms and Conditions will always be available on our website.

6. Termination:

   • The Shed reserves the right to terminate a project, client, or account for any reason, including but not limited to:

     • Poor Client behavior affecting workflow.

     • Lack of communication from the Client for 60 days.

     • Excessive micromanaging or lack of trust in The Shed.

   • In the event of termination, the deposit will be non-refundable.

Specific Services Covered

These terms apply to all services provided by The Shed, including but not limited to:

• Branding & Identity

• Web Design

• Graphic Design

• Illustration

• Design Sprints

• Design Subscription

Payment Terms

1. Deposit:

   • The Shed reserves the right to require a first payment or "deposit" of between 30% and 50% of the agreed total costs before commencing work.

   • For work valued at less than $1,000, The Shed reserves the right to invoice for full payment upfront.

2. Final Payment:

   • The final balance is due upon completion of work, as stated on the initial estimate and/or invoice.

   • If the Client decides to cancel or make changes after completion, they are still obligated to pay for all work completed.

3. Scope Changes:

   • Should the scope of work change during the project, additional costs may be incurred. The Shed will submit any price changes to the Client prior to commencing additional work.

4. Payment Deadlines:

   • All accounts are payable within 14 days (unless another arrangement has been made).

   • Accounts outstanding for 30 days will be considered "in default," and services may be suspended.

   • Clients with accounts in default agree to pay all reasonable costs, including legal fees, incurred in enforcing these Terms and Conditions.

5. Design Sprints:

   • Payment is required upfront before the sprint begins.

   • If a Client cancels after commencement, they are still responsible for payment for work completed up to the point of cancellation.

6. Design Subscription:

   • Work is delivered on a rolling basis, with unlimited design requests within the subscription terms.

   • Cancellation requires 30 days’ notice. Any pending work at the time of cancellation will be completed and billed accordingly.

Outstanding Accounts

1. Late Fees:

   • If payment is not received within 14 calendar days of the due date, a late fee of 1.5% of the outstanding amount per day will be charged.

2. Collections:

   • The Shed reserves the right to send the Client to collections for unpaid amounts.

   • Clients agree to pay all reasonable collections and legal costs incurred by The Shed.

Ownership and Copyright

1. Ownership Transfer:

   • Ownership of final designs and creative work will transfer to the Client upon full payment.

2. Copyright:

   • The Shed retains the right to use completed work for promotional purposes unless otherwise agreed in writing.

Revisions and Adjustments

1. Revisions:

   • Clients are entitled to 2 rounds of revisions for services like Branding & Identity, Web Design, and Design Sprints.

   • Additional revisions will be billed separately.
